Official Rules

Eligibility
The Razor & Tie Direct, LLC “Semi-Precious Weapons Makeover” Contest (the “Contest”) is open to all legal Residents of the United States and District of Columbia ages Sixteen (16) years old or older. Employees and agents of Razor & Tie Direct, LLC (“Sponsor”) and/or any affiliates or subsidiaries thereof and their immediate families and household members are not eligible. The Contest is void in Puerto Rico and all other U.S. territories and possessions and where prohibited or otherwise restricted by law. Sponsor reserves the right to verify the eligibility qualifications of any person submitting a photo and entry at anytime throughout the duration of the Contest. United States law governs these Official Rules.

How To Enter:
Beginning on August 27, 2008 at 12:01 AM EST, any person wishing to enter the Contest may submit his or her name, email address, photograph and an essay, up to 50 words in length, explaining how Semi-Precious Weapons inspires such person to be more “garage glam”on the contest websites www.myspace.com/semipreciousweapons or www.semipreciousweapons.com/contest / (“Entry”). By submitting an Entry, the submitting party accepts and agrees to be bound by these Official Rules, including all decisions of Sponsor, which are final and binding in all respects. All Entries must be received by Sponsor no later than September 9, 2008 at 11:59 PM EST in order to qualify for participation in the Contest. All Entries must meet the technical and length specifications set forth on the contest site. Proof of email submission is not considered proof of delivery and receipt for purposes of this contest. Illegible, incomplete, damaged, incomplete and duplicate entries will be disqualified. All entries shall be deemed the property of Sponsor from the time of submission and will not be returned.

Prizes:
One (1) Entry will be selected as the “Grand Prize Winner” and will receive the following: (1) access to M.A.C. Cosmetic VIP backstage lounge in the main tent at the 2008 Mercedes Benz Fashion Week at Bryant Park in New York, New York on September 12, 2008; (2) a professional “garage glam” facial make-over from M.A.C. Cosmetics and Justin Tranter of Semi-Precious Weapons; (3) the opportunity to attend a fashion show with Justin Tranter on September 12, 2008; and (4) a special gift bag (“Gift Bag”) including M.A.C. Cosmetics PRO make-up, a M.A.C. Cosmetics make-up bag, a copy of Semi-Precious Weapons debut CD We Love You and a limited edited Semi-Precious Weapons USB necklace (total approximate retail value: $1,000). Five (5) Entries will be selected as “Runners Up” and each will receive a Gift Bag as described above (approximate retail value: $500). (Runners Up and Grand Prize Winner are referred to collectively herein as “Winners”). Some restrictions may apply. No travel will be provided. All costs, federal, state and local taxes, fees and other expenses associated with the acceptance and use of the prizes are the sole responsibility of the Winner. Sponsor will provide each Winner with a 1099 tax form for the approximate retail value of the Prizes. No transfer, substitution or cash equivalent for the prizes is permitted, except by Sponsor in Sponsor’s sole discretion. The specifics of all aforementioned elements of the prizes shall be solely determined by Sponsor.

Each person submitting an Entry acknowledges and agrees that as a condition of being awarded a prize, each Winner and his or her parent or legal guardian, if such Winner is under 18 years of age, must sign and return any and all work-for-hire and release forms included in the notification email, which include, amount their provisions, an agreement by the Winner and his or her parent or legal guardian, if such Winner is under 18 years of age, that all services and the products of all services rendered by the Winner in the submission of his or her Entry shall be deemed “works made-for-hire” under U.S. copyright law, or, if for any reason are not deemed to be “works made-for-hire,” shall be assigned by the Winner to Sponsor. Failure to comply with the above procedure will result in disqualification and the applicable prize will be forfeited and may be awarded to another person who submitted an Entry.

Judging Criteria:
A total of six (6) Winners will be chosen as the most “Garage Glam” among all eligible entries by September 9, 2008 by the members of Semi-Precious Weapons, whose decisions are final and binding in all matters relating to this Contest. The Winners will be notified via email by September 10, 2008.

Odds of Winning:
Odds of winning a prize depend on the total number of eligible entries received for the Contest.

Prize Conditions:
No substitution for any prize will be permitted. If necessary, at Sponsor’s sole discretion, a prize of equal or greater value to the applicable prize will be awarded. The prize awarded to each Winner is not transferable, assignable or redeemable for cash. Each Winner will be required to execute and return an Affidavit of Eligibility/Release of Liability/Publicity Release within three (3) days of issuance. Failure to return all required documents in the aforementioned time period may result in the applicable Winner being disqualified and an alternate Winner may be selected by Sponsor in Sponsor’s sole discretion. If a prize notification is returned to Sponsor as undeliverable or if an entrant is found to be ineligible or declines acceptance of the applicable prize for any reason, an alternate Winner may be selected by Sponsor in Sponsor’s sole discretion. By entering this Contest and/or accepting the applicable prize, the entrant hereby consents (except where prohibited by law) to Sponsor’s use of the entrant’s essay, image, voice, photograph and/or likeness, throughout the universe, in perpetuity, in any and all media, now known or hereafter devised, alone or as part of any other material of any kind or nature.

Entrant irrevocably grants to Sponsor and its affiliates, legal representatives, assigns, agents and licensees the worldwide, royalty-free, non-exclusive, sublicense-able, unconditional, perpetual and transferable right and license to use the essay and photograph submitted by entrant for advertising, promotional and/or commercial purposes, including without limitation, the right to publicly display, reproduce and distribute the essay and photograph in any media format or medium through any and all channels. Entrant forever waives any rights of privacy, intellectual property and any other legal or moral rights that may preclude Sponsor’s use of the entrant’s photograph or essay or require entrant’s permission for Sponsor to use the essay or photograph for any purpose whatsoever and agrees to never sue or assert any claim against Sponsor for use thereof.

Entrant acknowledges and agrees that (a) Sponsor has access to and/or may create or have created literary, film, tape and/or other materials, ideas and concepts that may be similar or identical to the essay and/or photograph submitted by entrant in theme, idea, plot, format, characters and/or other respects; (b) entrant will not be entitled to any compensation or other consideration because of use by Sponsor of such similar or identical materials, ideas and/or concepts; and (c) Sponsor’s use of material containing elements similar or identical those contained in the essay and/or photograph shall not obligate Sponsor to negotiate with or entitle entrant to any compensation or other claim.

Conduct of Participation:
By entering the Contest, entrant affirms that he or she has red and agrees to abide by these Official Contest Rules and the decisions of Sponsor and the members of Semi-Precious Weapons. Sponsor reserves the right to disqualify any entrant acting in violation of these Official Rules or found tampering with the entry process or with the operation of the Contest or any website related thereto. The Contest is governed by the laws of the State of New York and entrants hereby submit to the jurisdiction and venue of the federal, state and local courts located in New York County, New York. Any attempt by an entrant or any other individual to deliberately damage any website related to Sponsor or the Contest or undermine the legitimate operation of the Contest may be in violation of criminal or civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from such entrant to the fullest extent permitted by law.

Limitations of Liability:
Sponsor, Semi-Precious Weapons and their respective affiliates, subsidiaries, licensees, assigns and parent corporations and each of their respective officers, directors, shareholders, employees and agents are not responsible for any incorrect or inaccurate entry information, theft, tampering, destruction or unauthorized access to or alteration of entries; printing or other errors; and any entries which are late, lost delayed, incomplete, misdirected, stolen, mutilated, illegible or any combination thereof. Sponsor reserves the right to modify, suspend or terminate the Contest in the event that it becomes necessary to do so in Sponsor’s sole discretion. In the event that the Contest is terminated early, Winners will be selected from all eligible entries received at the time of termination.

Release of Liability:
By participating, the Winners and entrants agree to release, discharge, indemnify and hold harmless Sponsor, Semi-Precious Weapons and their respective affiliates, subsidiaries, licensees, assigns and parent corporations and each of their respective officers, directors, shareholders, employees and agents from and against any claims made by the Winners, entrants and/or any other third parties related in any way to the operation of the Contest, as well as any other claims, damages or liability due to any injuries, damages or losses (whether alleged, threatened or actual) to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize in any Contest-related activity or participation in this Contest.
